Legal Counsel – M&A, Finance & Corporate
Madrid, Spain Apply for RoleWe are currently seeking a highly motivated and skilled individual to join our company as a Legal Counsel. In this role, you will be an integral part of the M&A and Finance Legal Team, providing essential support to various other teams at our headquarters, including the M&A and Finance teams. You will also support the Group on matters related to capital markets, corporate law, and quarterly legal reporting.
What you’ll be doing- Participate in all stages of M&A transactions.
- Review, draft, and negotiate confidentiality agreements, engagement letters, memorandums of understanding, non-binding offers, and term sheets.
- Conduct and review due diligence reports with internal and external advisors.
- Review and negotiate share purchase agreements.
- Collaborate with internal teams such as accounting, tax, and local legal teams.
- Provide instructions and coordinate with external advisors.
- Manage legal work related to syndicated loans and listed securities, such as the European Medium-Term Notes (EMTN) Programme and commercial papers.
- Review various loan agreements on behalf of Adecco Group AG and certain local entities.
- Draft and review guarantees and letters of comfort.
- Review cash pool arrangements.
- Handle corporate housekeeping tasks, including reviewing the work of paralegals and capital transaction forms (CTFs) on behalf of the legal team.
- Review and draft various corporate documents, such as Powers of Attorney, Board and Shareholders' Resolutions and Meeting Minutes of worldwide subsidiaries.
- Manage quarterly legal reports.
- Offer general legal support to the Adecco Group as a member of the HQ Legal Team as needed.
- University degree in law from a recognized institution and admission to practice law in any jurisdiction.
- Minimum of 4 years’ experience in a law firm or international organization.
- Expertise in M&A, finance, and corporate legal matters.
- Fluent in business English (written and spoken). Proficiency in German, French, or Spanish is highly desirable.
- High ethical standards, integrity, and professionalism.
- Experience working in a multicultural environment with strong intercultural sensitivity.
- Excellent attention to detail and ability to adapt quickly to new challenges.
- Strong time management skills, with the ability to handle deadlines and competing priorities in a fast-paced environment.
- Self-motivated and capable of working both independently and collaboratively.
- Adaptability and proactive approach to identifying opportunities for improvement.
- Ability to build strong relationships with internal stakeholders and legal team members.
